The TV series will run on the Disney-owned ABC channel, reports Deadline.
The project is expected to have a "light" connection to Marvel's film franchise.
It will be set in the same universe and share themes with Joss Whedon's Avengers film, but may not feature any of the same characters.
The series has been described as only a "kernel of an idea" so far, with various possibilities being considered including a "high-concept cop show".
ABC is also working on a Hulk show which is planned to debut in 2013 with Guillermo del Toro attached.
